User Terms and Conditions ("the agreement")
This agreement is made between you and Racing Factors Limited, registered office: Unit 6a 6 Hornsey Street, London, N7 8GR, England. Company registration number 13172325 (referred to in the following as "we" or "us”).
1. Racing Factors Limited
1.1 We may make available to you on, or via, the website chat areas, forums and/or other means by which communications may be made available and/or disseminated publicly, the following services; shopping and other commercial and/or transactional services including, without limitation, the supply of goods and/or services; advisory services; and/or competitions and/or prize draws.
1.2 Third parties may operate the services mentioned in section 1.1. When this is the case, it will be made clear to users so they are aware that they are dealing directly with a third party. The third party may ask you to supply information and/or data including, but not limited to, financial, credit card and/or bank details, and may have specific additional terms and conditions which apply. As such any contracts and/or arrangements will be formed between you and the third party. Racing Factors will not be a party and we cannot be held liable for your use of for any liability arising out of the same (save to the extent required by law).
2. Use of the Racing Factors Site
2.1 The website, the Racing Factors ratings and the Racing Factors services are for personal and non-commercial use only. You may copy electronically and print portions of the website for your personal, non-commercial use only. In particular, you may not use any information from any directory or other listing or information retrieval service (if any) made available on or by the website, especially the Racing Factors ratings, in connection with any business or commercial undertaking (whether or not for profit). You must not display the website, the Racing Factors ratings, or the Racing Factors services, or any part thereof, in public. Any other use of materials on the website, the Racing Factors ratings, and/or the Racing Factors services, including user-generated Content (including but not limited to, reproduction for a purpose other than that noted above and any modification, distribution or republication) without our prior written permission is strictly prohibited. You also agree not to deep-link and/or frame to any of the website for any purpose, unless specifically authorised by us to do so.
You agree that:
(a) you shall not use the Racing Factors website or its interactive elements to transmit knowingly, or recklessly receive (or knowingly or recklessly authorise or permit any other person to receive or transmit) material which is obscene, threatening, menacing, offensive, defamatory, abusive, in breach of confidence, in breach of any intellectual property right (including copyright) or otherwise violates any applicable law or regulation or code, or which makes excessive demands for bandwidth, or contains any virus, or which may otherwise impair or harm our computer systems or any third party computer system; and
(b) you will keep your password/s, if any, relevant to the website and/or its interactive elements secure and not let them become public knowledge or be used by any third party.
2.2 You agree that you will not submit any material to us ("user-generated content"):
(a) that is in any way, threatening, abusive, offensive, defamatory, invasive of another's privacy, in breach of confidence or privacy, embarrassing to any person, hateful, blasphemous, pornographic, or racially, ethnically or otherwise objectionable;
(b) in respect of that which you do not have the necessary licences or approvals;
(c) which constitutes or encourages conduct that would be considered a criminal offence or otherwise contrary to any law, regulation, or code of practice, give rise to civil liability or infringe the rights of any third party;
(d) that is technically harmful;
(e) which is or may be deemed to be advertising or promotional materials;
(f) that collects or stores other users' personal data.
You will not impersonate any person or entity when submitting user-generated content or misrepresent any affiliation with any person or entity.
We reserve the right to require you to change your user name for any reason.
You acknowledge that we have no obligation to monitor any user-generated content but we have the sole discretion to display, modify, distribute or delete any such user-generated content at our sole discretion and may remove any such material at any time. Notwithstanding this, you are solely responsible for and bear the risk associated with such user-generated content, including any reliance on the accuracy, completeness or usefulness of the same.
In the event that you are in breach of these terms and conditions and/or our standards for user-generated content at any time, we may suspend or terminate any account that you have with us. You may not open another account with us but if you do, we reserve the right to terminate any such account. In the event that you continue to contravene these terms and conditions and/or the standards for user-generated content we reserve the right to contact your employer or your internet service provider.
We will co-operate with law enforcement or regulatory authorities or any court order requesting or requiring us to disclose the identity or location of anyone who has submitted user-generated content to us in breach or allegedly in breach of these terms and conditions and/or the standards for user-generated content.
In relation to any user-generated content, you automatically and hereby grant to us a perpetual, royalty free, irrevocable, non-exclusive right and licence to use, edit, reproduce, modify, publish, translate, create derivative works from and distribute such user-generated content, in whole or in part, in any form, medium or technology now known or hereafter developed. In addition, as between you and us, you waive any and all moral rights in such user-generated content.
In the event that you submit any material to us for publication, you will be deemed to have accepted these terms and conditions and standards.
If you see any material submitted by a third party user on the Racing Factors website, or its interactive elements, which you believe to be in breach of these terms and conditions and/or the standards for user-generated content, you may report it by emailing us at dpo@racingfactors.com. We cannot guarantee that any action will be taken as a result of your email.
2.3 The intellectual property in all design, text, graphics and other material, and the selection or arrangement of such material in the Racing Factors website and its interactive elements, is owned by us and/or our respective licensors.
2.4 Save to the extent required by law, we make no representations, warranties or terms of any kind including, but not limited to, implied warranties as to completeness, accuracy, satisfactory quality and fitness for a particular purpose are made in respect of the Racing Factors website and its interactive elements, or their contents (including, but not limited to, any views or comment made) which are provided on an "as is" basis).
We do not warrant that the contents of the Racing Factors website and its interactive elements (including, without limitation, any views or comment made) will meet your particular expectations or requirements or that they will be uninterrupted, timely, secure or error-free; nor do we make any warranty as to results or the accuracy of any information obtained by you through the website and its interactive elements or their contents (including, without limitation, any views or comment made), all of which are hereby excluded to the greatest extent permitted by law.
All information and/or data included in and/or on the website and its interactive elements and/or in any directory or other listings or information retrieval service made available on or by the website has been so made available for guidance only. Your use of such information and/or data is therefore entirely at your own risk. Nothing in these terms of use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
• use of, or inability to use, our site; or
• use of, or reliance on, any content displayed on our site.
Please note that we only provide our site for domestic and private use. You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any content on it, or on any website linked to it. We assume no responsibility for the content of websites linked on our site. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.
2.5 The Racing Factors website and its interactive elements may include links to websites and/or services owned and/or operated by third parties. These are provided for your convenience only and we are not responsible for and do not give any warranties or make any representations regarding any such websites and/or services, and we are not responsible for or liable in relation to the content or your use of such websites (save to the extent required by law).
2.6 We are the owner of:
(a) those trademark/s indicated as such throughout the website from time to time; and
(b) all other trademarks used on the website which are not licensed to it by any third party. All other trademarks, product names and company names or logos cited therein are the property of their respective owners.
2.7 The provisions in clause 5 and our Privacy Policy on Data Protection and Use of Personal Information apply in respect of your use of the website.
2.8 Viruses
We do not guarantee that our site will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform in order to access our site. You should use your own virus protection software.
You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful.
You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.
3. Availability and Security of the Site
3.1 Due to the nature of the Internet, we do not promise full and error free operation of the website at all times. All of our liability and that of our directors or employees howsoever arising for any loss whatsoever arising from your use of or inability to use the website and/or the services is excluded, insofar as it is possible to do so in law.
3.2 Any and all information or material of whatever nature added to or stored by you on the website ("your material") is so added or stored entirely at your own risk. All of our liability and the liability of our directors or employees in respect of the loss or deletion of your material or your inability for whatever reason to access your material is excluded to the fullest extent permitted by law.
3.3 We shall use reasonable endeavours to ensure that the website, and any information it holds on you are kept secure. However, due to the nature of the Internet, we cannot accept any liability for those who intentionally attempt to and/or gain unauthorised access to the same by means such as, without limitation, computer hacking (save to the extent that we are unable to exclude such liability by law).
3.4 From time to time, your access to the website may be suspended in order for work to be carried out relating to upgrading or maintenance or otherwise as necessary for the provision of the website. We shall endeavour to ensure that such works are carried out as expeditiously as is possible in the circumstances.
4. Registration
Where you are asked to complete a registration form for us the personal details that you provide must be true, accurate and complete.
5. Data Protection and Use of Personal Information
Full details of the way we hold and process information which you provide to us and/or from which we can identify you are set out in our Privacy Policy.
7. Refunds, Returns & Cancellation
These terms and conditions relating to refunds, returns and cancellation do not affect your statutory rights to cancel
7.1 Refunds for Racing Factors services
(a) Any reimbursement or refund made by us in relation to Racing Factors subscriptions and services will only be made to the bank account or debit/credit card used to make payment or part payment for the Racing Factors subscriptions and services concerned. We will in no circumstances pay money to the credit of a third party or to any other bank account, debit or credit card. If we are for any reason unable to make a refund to your bank account or debit/credit card for any reason the refund will be sent by cheque to you to the address you have notified to us as part of the original registration process or any update of such address.
(b) We may also charge you a reasonable sum to cover our administrative costs in processing any request for a refund.
(c) We will refund to you all monies due to you in relation to your cancellation or downgrading of your subscription package within 30 days of the date on which such cancellation or downgrade takes effect.
Your statutory right to cancel an upgrade or downgrade does not mean that you have cancelled the whole contract. If you cancel an upgrade or a downgrade pursuant to your statutory right to cancel you will revert to the package you were subscribed to before.
8. Termination
8.1 We may permanently terminate your access to the Racing Factors services, provided by Racing Factors Limited, immediately for any reason.
8.2 There is no specific time limit applying to your use of the Racing Factors services in these terms and conditions. However, if you breach these terms and conditions we reserve the right to suspend or terminate your access to the Racing Factors services, with or without notice and without further obligation to you.
8.3 In the event that we terminate your access to the Racing Factors services as a result of your breach of these terms and conditions there will be no refund to you of the unused portion of any Membership Fees.
9. Claims
Where a claim is brought against us by a third party in relation to your use of the website and/or the services or any user-generated content, you agree to fully reimburse us and all companies within our group of companies (i.e. companies which share the same ultimate parent company) for all losses, costs, actions, claims, damages, expenses (including reasonable legal costs and expenses) or liabilities, whatsoever suffered or incurred by us or companies within our group (i.e. companies which share the same ultimate parent company) in or as a consequence of your breach of this agreement and/or your use of the website and/or any user-generated content which is included in the website.
10. Force Majeure
Neither party shall be liable to the other, for any loss or damage which may be suffered by the other party due to any cause beyond the first party's reasonable control including but not limited to any power failure.
11. Notices
Any notices we send to you will be sent to the email address you supply during the Racing Factors Limited registration process or any updated email address. Any notices you send us should be sent by email to dpo@racingfactors.com. Notices will be deemed to have been delivered at the time and date of sending of the email, as specified in the email.
12. Assignment
12.1 This agreement shall be personal to you and you may not assign, transfer, sublet, lease or delegate all or any of your rights and obligations, without our prior written consent.
12.2 We reserve the right to assign or transfer all or any of our rights and obligations under this agreement to any companies in the same group (i.e. companies which share the same ultimate parent company) or another third party. In the event of assignment or transfer, notification will either be given to you by email or posted on the website.
13. No Waiver
Failure by either party to exercise or enforce any right conferred shall not be deemed to be a waiver of any such right nor operate so as to bar that exercise or enforcement thereof or of any other right on any later occasion.
14. Entire Agreement
This agreement, together with any other terms and conditions or other contractual terms relating to your access and/or to your use of the Racing Factors website and its interactive elements, constitutes the entire agreement between us and you with respect to this subject matter and excludes any representations or warranties previously given or made (other than any fraudulent misrepresentation) and it may be amended only by us on notice to you.
15. Variation of Terms
We reserve the right to vary this agreement from time to time. Such changes shall either be notified to you by email or posted here. We recommend you check back regularly to ensure you are aware of any changes. Changes made in this manner shall be deemed to have been accepted if you continue to use the Racing Factors website and/or its interactive elements after the date of transmission of the email or of posting here, whichever occurs later.
16. Law and Jurisdiction
These terms and conditions and your access to use the Racing Factors website and/or its interactive elements are subject to the laws of England and you submit to the exclusive jurisdiction of the courts of England.
17. Invalidity
If the whole or any part of any provision of these terms is or becomes invalid, void or unenforceable for any reason the same shall to the extent required be severed from these terms and rendered ineffective so far as is possible without modifying the remaining provisions of these terms and shall in no way affect the validity or enforceability of any other provisions.
18. Third Party Rights
These terms are not intended to create and shall not create any rights, entitlements, claims or benefits enforceable by any third party by virtue of the Contracts (Rights of Third Parties) Act 1999.
Racing Factors Pick 10 Competition
Winners and Entrants
1. Racing Factors reserves the right in its sole discretion to ask for evidence to verify the age, identity, and/or eligibility of an entrant at any time, and to use any channels and methods available to carry out checks on any details provided.
2. Racing Factors shall not be responsible for any loss you suffer as a result of the Racing Factors' staff/team dealing in good faith with anyone other than you who has access to any such number (or any device using any such number).
3. Maximum of one entry per eligible user per game.
4. Winners will be required to verify (with evidence satisfactory to Racing Factors) their:
• age;
• identity;
• residence; and
• any other requested verification information,
5. Racing Factors may withhold delivery of a prize until it has received satisfactory verification from the winner. Failure to provide such satisfactory verification in a timely manner may result in a delay in the delivery of the prize. Failure to provide such satisfactory verification altogether may result in forfeiture of the prize.
6. If the winning entrant is, for whatever reason:
• not able to accept a prize;
• not able to verify their registration information to the satisfaction of Racing Factors;
•
found to have breached these terms and conditions by Racing Factors;
then the entrant will be disqualified and the prize will be forfeited.
7. The winner is required to comply with all reasonable instructions and requirements as may be specified by Racing Factors to receive and/or take up the prize. Racing Factors will not be liable where the winner fails to comply with such instructions, and such failure may result in forfeiture of the prize.
8. The winner may be required to provide their signature as proof of their agreement to relevant waivers, releases and/or consents when taking up the prize.
9. Racing Factors may refuse to provide a prize, or may seek recovery of any prize, in the event of non-entitlement under these terms and conditions or an entrant's fraud or dishonesty.
10. Where Racing Factors suspects that a winning player is guilty of fraudulent activity, Racing Factors reserves the right to suspend or remove that player from the offer, and/or suspend that player's account and/or suspend the promotion pending further investigation.
11. Racing Factors decision is final and legally binding on all entrants in relation to all aspects of competitions including (but not limited to) the allocation of the prizes, and no correspondence will be entered into.
12. Entries that do not comply in full with these terms and conditions will be disqualified and will not be eligible to receive any prizes.
Challenges
1. All entry fees are non-refundable once you have entered a challenge.
2. Picks cannot be amended after they have been placed.
3. If your horse is a non-runner or a race is voided, points will be awarded to your selection(s).
4. In the event of a tied number of points dead-heat rules will apply and prize pool will be shared.
5. Entry fees will be refunded when challenges are made void.
6. Racing Factors has the right to remove or block any user from the challenge that is deemed in breach of our general terms and conditions.
7. Racing Factors will exercise final authority in the case of any disputes.
8. Results will be finalised by midday UK time the following day and prize pools will be distributed to winners.
9. Refunds will be processed at midday UK time the following day.

Racing Factors Referral Program
1. Referrals
1.1. Subject to your compliance with the terms of this agreement, Racing Factors Limited shall pay you a referral fee to your registered bank account (“Referral Fee”) if you meet the Referral Program requirements (as in force at that time) for your program.
1.2. You may use the Referral Program by sharing a unique link, or by having each person you refer add the invitation within 30 days after signing up with Racing Factors using the link. For the avoidance of doubt, it shall not be possible to add the invitation after 30 days from signing up with Racing Factors.
1.3. Provided you meet the requirements (as in force at that time) you are then entitled to a Referral Fee each time you meet such requirements.
1.4. You must be a registered user of Racing Factors Limited to use the Referral Program.
1.5. Each qualified person you invite shall only make deposits from a credit card, debit card or bank account which is in their name.
2. Referral Commission
2.1 You will earn a one-off fee of £1 for every Racing Factors user you refer that pays a minimum of 1 month's fee for the Racing Factors monthly subscription at £5 per month.
2.2 You will earn a one-off fee of £5 for every Racing Factors user you refer that pays a minimum of 1 annual Racing Factors subscription fee of £50.
3. Prohibited Uses
3.1. You may only use our Referral Program in good faith for lawful purposes. You may not:
(a) create more than one account in order to invite yourself;
(b) invite others that have created duplicate accounts;
(c) use alternative contact information to refer yourself or others that have created duplicate accounts;
(d) invite an existing customer of Racing Factors Limited;
(e) invite fictitious persons;
(f) do anything that damages Racing Factors Limited's goodwill or reputation;
(g) use the Referral Program in: (i) any way that breaches any applicable local, national or international law or regulation; or (ii) any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect; (iii) in any way that contravenes any other agreements we have with you, including our Customer Agreement and Acceptable Use Policy;
(i) transmit any unsolicited or unauthorised advertising either via paid search or any other similar activity, including channels that can damage the Racing Factors brand, goodwill or reputation.
3.2. Any obligation on you not to do something includes an obligation not to allow that thing to be done.
4. Identification Documents
4.1. Racing Factors Limited may require identification documents from you prior to paying the Referral Fee.
4.2. Racing Factors Limited shall not be in breach of this agreement, nor have any obligation to pay you a Referral Fee, if you do not provide the identification documents requested by Racing Factors Limited, or if the documents provided are unsatisfactory, this will be in the sole and absolute discretion of Racing Factors Limited.
5. Data Protection
You represent and warrant to us that you have obtained the express consent from the individuals whose data you provide us with.
6. Abuse of the Referral Terms
6.1 Racing Factors Limited has the right to refuse to pay you the Referral Fee if (in its sole and absolute discretion) Racing Factors Limited suspects that you have not used the Referral Program in good faith or have breached this agreement.
6.2. We will determine, in our sole and absolute discretion, whether there has been a breach of this agreement. When a breach of this agreement has occurred, Racing Factors Limited may take such action as we deem appropriate, including (but not limited to) termination of this agreement, closing your account/s, closing third party account/s and suspending the Referral Program.
7. Limitation of Liability
Racing Factors Limited accepts no liability for any use of the Referral Program which does not comply with this agreement.
8. Changes to this Agreement
We may revise this agreement at any time by amending this page. Continued use of the Referral Program shall amount to acceptance of the agreement in force at that time.
9. Changes to the Referral Program
Racing Factors Limited reserves the right to:
(a) amend, alter or change the Referral Program at any time, without notice; and to
(b) terminate the Referral Program at any time, without notice. In the event that the Referral Program is terminated, Racing Factors Limited will not be obliged to credit any accounts that would have otherwise qualified for a Referral Fee.
10. Applicable Law
10.1. This agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
10.2. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims).
Racing Factors Karrotz (ERC-20) Coins
When you use the Racing Factors platform and play the PICK10 competition, you may earn Karrotz. The number of Karrotz you have at any given time is shown in your Racing Factors account as your Karrotz Balance.
You may earn Karrotz as a result of your engagement on the Racing Factors website. Any Karrotz you earn will be automatically added to your Racing Factors account. The specific number of Karrotz allocated to each Racing Factors competition and promotion will vary.
We reserve the right to change the rate at which users may earn Karrotz. We will take action if you attempt to earn Karrotz fraudulently on the Racing Factors website.
You acknowledge that you do not own any of the Karrotz in your Racing Factors account, but instead you have the right to use those Karrotz in accordance with these terms of use.
Community Guidelines
Introduction
In addition to our terms and conditions we provide the following guidelines for the Racing Factors community. These guidelines should be interpreted along common sense lines and they apply to all Racing Factor contact features.
This is considered a living document that we regularly update based on the evolution of the Racing Factors website. Additional guidelines or specific exceptions may be applicable for certain properties made available to viewers made as part of the services.
To protect the integrity of our community, as the provider of the services, we at Racing Factors reserve the right to suspend any account for any conduct that we determine to be inappropriate or harmful. Such actions may include: removal of content, a strike on the account, and/or suspension of account(s). We believe Racing Factors is something that should work for the benefit of all members of the Racing Factors community. Integral to this is a sense of partnership and togetherness, a sense of inclusion and cooperation. We therefore encourage our users to report any content which they believe is not in keeping with our core values.
Breaking the Law
You must respect all applicable local, national, and international laws while using our website. Any content or activity featuring, encouraging, offering, or soliciting illegal activity is prohibited.
Suspension Evasion
All suspensions are binding until expiration or removal upon appeal. Any attempt to circumvent an account suspension or chat ban by using other accounts, identities, personalities, or presence on another users account will also result in suspension. Suspension evasion will not only increase the length of suspension, but may lead to an indefinite suspension.
Self-Destructive Behaviour
Any activity that may endanger your life or lead to your physical harm is prohibited. This includes, but is not limited to: suicide threats, intentional physical trauma, illegal use of drugs, illegal or dangerous consumption of alcohol, and dangerous or distracted driving.
Violence and Threats
Acts and threats of violence will be taken seriously and are considered a zero-tolerance violation, potentially leading to immediate suspension. These include, but are not limited to:
a) Attempts or threats to physically harm or kill others
b) Attempts or threats to hack, DDOS, or SWAT others
c) Use of weapons to physically threaten, intimidate, harm, or kill others
Hateful Conduct and Harassment
Hateful conduct is any content or activity that promotes, encourages, or facilitates discrimination, denigration, objectification, harassment, or violence based on race, ethnicity, national origin, religion, sex, gender, gender identity, sexual orientation, age, disability, medical condition, physical characteristics, or veteran status, and is prohibited. Any hateful conduct is considered a zero-tolerance violation and all accounts associated with such conduct will be indefinitely suspended.
Harassment is any content or activity that attempts to intimidate, degrade, abuse, or bully others, or creates a hostile environment for others, and is prohibited. Depending on the severity of the offense, your account may be indefinitely suspended on the first violation. We prohibit using Racing Factors to facilitate hateful conduct or harassment, whether the targets are on or off Racing Factors. Individuals, communities or organizations that do so are not allowed to use our services.
Unauthorised Sharing of Private Information
Do not invade the privacy of others. It is prohibited to share content that may reveal private personal information about individuals, or their private property, without permission. This includes but is not limited to:
a) Sharing personally identifiable information (such as real name, location, or ID)
b) Sharing restricted or protected social profiles or any information from those profiles
c) Sharing content that violates another's reasonable expectation of privacy, for example streaming from a private space, without permission
Impersonation
Content or activity meant to impersonate an individual or organization is prohibited. Any attempts to misrepresent yourself as a user of Racing Factors is a zero-tolerance violation and will result in indefinite suspension.
Spam, Scams, and Other Malicious Conduct
Any content or activity that disrupts, interrupts, harms, or otherwise violates the integrity of Racing Factors is prohibited. Such activity includes:
a) Any content or activity that disrupts, interrupts, harms, or otherwise violates the integrity of Racing Factors services, such activity includes:
